Real estate professionals often ask us how business sales work and how the process differs from residential and commercial transactions. Some of differences are:

  • Valuation (pricing) is driven by financial statements, type of asset transaction (such as corporate stock or business assets), and type of buyer. Comparable transactions are used indirectly to determine multiples of profit.
  • Marketing and advertising must be done confidentially, and the practice of selling business opportunities has no single MLS-like advertising channel. Furthermore, broker cooperation is uneven.
  • Deal structure and terms ('negotiations') is a huge differentiator of service and capabilities by broker-agents. Tax allocation issues are important.
  • Contracts are unique to the business transaction and require legal counsel.
  • Due diligence (similar in principle to the home inspection) is complex and usually runs at least 30 days.
